OEM is forever locked to the computer it is installed 
on.  A pre-installed OEM might even be locked to the 
hardware set it came on.  So technically if the machine 
goes, the license goes too and it's often pretty hard 
to move it to another machine, especially the ones 
bastardized for specific hardware.

OEM cheaper but fully functional; retail costs more, 
but worth the legal transportability.
